During his career Allen has guided clients through all manner of transactions collectively valued at billions of dollars. Along the way, he has developed deep experience in virtually every aspect of complex commercial transactions.
Allen knows sophisticated transactions, particularly those involving complex technology, including technology development, technology implementation, IP transfer, licensing, outsourcing, workouts, and restructurings.
Allen knows these transactions from every vantage point including from that of providers of technology and technology services, acquirers of technology and technology services, major users of technology, major suppliers of technology, startups, lenders, and investors.
Over more than three decades, he has developed a comprehensive, multidisciplinary knowledge of commercial transactions. As a result, he understands where and how disputes arise and how to resolve them.
How We Do It
Allen helps parties identify and articulate issues in controversy, recognize where there interests may be compatible, and identify opportunities for mutual gain. He does this by bringing to each mediation:
- an in-depth understanding of the interests of the parties to a commercial transaction. He sees all sides of a dispute and understands the needs and motivations of all parties;
- an innate ability to find solutions to issues and problems. A key to Allen’s success as a commercial transactions lawyer for more than 30 years, has been his ability to help the parties find solutions to issues and problems that worked for both parties;
- an in-depth knowledge of the contracts under which disputes arise, the provisions and issues giving rise to disputes, and the range of resolutions of such disputes. Allen has negotiated hundreds of commercial arrangements including billions of dollars of technology agreements;
- a broad and deep understanding of commercial practice, domestically and internationally. Allen has assisted clients with transactions throughout the United States as well as in the United Kingdom, the Netherlands, Germany, Switzerland, Canada, India, and South Africa;
- a broad and deep understanding of market practices including software and other technology industry practice;
- broad and deep experience assisting personnel with divergent interests reach consensus. Structuring complex commercial and technology transactions required Allen to drive consensus among users, IT executives, business executives, and financial executives when representing customers, and sales and marketing executives, financial executives, developers, and account managers when representing suppliers.

How We Work
Allen is available to mediate commercial disputes throughout the United States and internationally.
Allen has two offices—one in Washington, DC, and the other in Sarasota, FL. Moreover, he is available to mediate and arbitrate commercial disputes in-person or via remote technologies, such as Zoom or WebEx.
Arbitration
Allen is also available to arbitrate complex commercial disputes individually or as a member of a panel.*
* In some states including Florida, Allen’s work as an arbitrator is limited to serving on multi-arbitrator panels.
